By accessing or using the Coopo website (coopo.app), mobile applications, and related services (the “Service”), operated by UGC HUB LLC (“Coopo”, “we”, “us”), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you must not use the Service.

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service you represent that you meet these requirements and that all information you provide is accurate and complete.

• Brand — a business that uses the Service to commission user-generated content (UGC) and campaigns.
• Creator — an individual who produces and publishes UGC through the Service.
• UGC — videos, images, captions, and other content produced by Creators.
• Platform — Coopo’s website, apps, dashboards, and tools.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date. We may suspend or terminate accounts that contain false information or are used in breach of these Terms.

Coopo is an intermediary platform connecting Brands with Creators. We facilitate discovery, briefing, content review, performance tracking, and payment processing. Coopo is not a party to the content agreement between a Brand and a Creator and does not guarantee any specific campaign result.

Creators agree to follow each campaign brief, meet stated deadlines, publish only original content they have the right to use, and clearly disclose sponsored content (e.g. #ad) as required by law. Creators must not use bots, paid panels, or other artificial means to inflate reach or engagement.

Brands agree to provide accurate briefs, review submissions in a timely manner, and pay agreed fees. Brands must not request content that is illegal, misleading, or infringes third-party rights, and must hold all licenses required for products and claims promoted through the Service.

Creators retain ownership of the UGC they create. Upon full payment by the Brand and acceptance of the UGC, the Creator grants the Brand a worldwide, perpetual, irrevocable, royalty-free, sub-licensable license to use, reproduce, modify, and display that UGC for commercial marketing purposes, unless the campaign agreement states otherwise. Creators grant Coopo a limited license to host, display, and promote the content within the Service.

Brands pay fees based on performance (e.g. per 1,000 confirmed impressions) or agreed flat rates. Creators receive payouts for approved and performing UGC. Coopo may deduct a service fee. You are responsible for any taxes arising from your use of the Service. Coopo may withhold or reverse payments where fraud, chargebacks, or breach of these Terms is suspected.

You agree not to: violate any law; post content involving violence, hate, illegal goods, or sexually explicit material; infringe intellectual property or privacy rights; engage in fraud or artificial engagement; reverse-engineer or disrupt the Service; or circumvent fees by transacting off-platform after being introduced through Coopo.

The Coopo name, logo, software, and all platform materials are owned by UGC HUB LLC and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks without prior written permission.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, UGC HUB LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim shall not exceed the amounts you paid to Coopo in the three months preceding the claim.

You agree to indemnify and hold harmless UGC HUB LLC from any claims, damages, or expenses arising from your content, your use of the Service, or your breach of these Terms or of any third-party rights.

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, for any breach of these Terms or to protect the Service or other users. Provisions that by their nature should survive termination (e.g. licensing, liability, governing law) will remain in effect.

We may update these Terms from time to time. Material changes will be posted on this page with a new effective date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Republic of Azerbaijan. Any dispute shall be finally settled by arbitration in Baku, Azerbaijan, except that either party may seek injunctive relief in a competent court to protect its intellectual property or confidential information.

This Privacy Policy explains how UGC HUB LLC (“Coopo”, “we”) collects, uses, discloses, and safeguards your information when you use the Service. We process personal data in accordance with applicable data protection laws. By using the Service you acknowledge this Policy.

• Identity data: name, username, title.
• Contact data: email, phone, address.
• Professional data: company, job title, social media profiles.
• Financial data: bank or payment details used for payouts.
• Content data: UGC, captions, and campaign analytics you submit.
• Technical data: IP address, device and browser type, usage and log data.

We collect data directly from you (registration, campaigns, support), automatically through cookies and similar technologies, and from third parties such as social platforms, analytics providers, and payment processors that help us deliver the Service.

We use personal data to provide and improve the Service, match Brands and Creators, process payments, track campaign performance, prevent fraud and abuse, communicate with you, and comply with legal obligations. We rely on legal bases including performance of a contract, your consent, our legitimate interests, and legal compliance.

We use cookies and similar technologies to keep you signed in, remember preferences, measure traffic, and improve the Service. You can control cookies through your browser settings; disabling some cookies may affect functionality.

We share data with Brands and Creators as needed to run campaigns, and with service providers (hosting, analytics, payment, and communication) who process data on our behalf under appropriate safeguards. We may disclose data where required by law or to protect our rights. We do not sell your personal data.

Your data may be processed in countries other than your own. Where data is transferred internationally, we take steps to ensure an adequate level of protection consistent with applicable law.

We retain personal data only as long as necessary for the purposes described in this Policy, including to provide the Service, comply with legal, tax, and accounting obligations, and resolve disputes. When data is no longer needed, we delete or anonymize it.

We implement industry-standard technical and organizational measures to protect your data against loss, misuse, and unauthorized access. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Subject to applicable law, you may have the right to access, correct, delete, or port your personal data, to object to or restrict certain processing, and to withdraw consent. The Service is not intended for individuals under 18, and we do not knowingly collect their personal data. If you believe a minor has provided us data, please contact us so we can remove it.

We may update this Privacy Policy periodically. The latest version will always be posted on this page with its effective date. Significant changes may be communicated through the Service.
